1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website www.ideedatech.com (the “Site”) operated by Shenzhen Ideeda Technology Co., Ltd. (“IDEEDA,” “we,” “us,” or “our”) and all purchases of laser marking, engraving, and cleaning equipment and related products and services.
By accessing the Site or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access the Site or use our services. We reserve the right to modify these Terms at any time, and continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
2. Products & Pricing
All product specifications, descriptions, and images on our Site are provided for informational purposes. We make every effort to ensure accuracy, but we reserve the right to modify product specifications, designs, or features without prior notice.
- Quotations: All price quotations are valid for 30 days from the date of issue unless otherwise specified. Quoted prices do not include shipping, customs duties, taxes, or import fees, which are the responsibility of the buyer unless otherwise agreed in writing.
- Price Changes: We reserve the right to adjust prices at any time due to fluctuations in raw material costs, exchange rates, or other market conditions. Price changes will not affect orders that have already been confirmed and received payment.
- Currency: Unless otherwise agreed, all prices are quoted in US Dollars (USD) or as specified in the quotation document.
- Product Availability: All products are subject to availability. In the event that a product is out of stock, we will notify you and offer alternatives, a backorder option, or a full refund.
3. Orders & Payment
By placing an order through our Site, email, or other communication channels, you represent that you have the legal authority to enter into this agreement and that all information provided is accurate and complete.
- Order Confirmation: An order is confirmed only after we have received a signed Proforma Invoice (PI) and the required deposit. Verbal agreements or email exchanges do not constitute a binding order until PI confirmation.
- Payment Methods: We accept the following payment methods:
- Bank Transfer (T/T): Standard payment for international orders. Typically 30%–50% deposit, balance before shipment.
- PayPal: Available for small orders and sample orders. Buyer covers PayPal transaction fees.
- Letter of Credit (L/C): Available for large orders exceeding $50,000 USD, subject to bank approval and our acceptance.
- Western Union: Available upon request for specific situations.
- Deposit Requirements: Standard orders require a 30% deposit to begin production. Custom or OEM orders may require 50% deposit. Full payment must be received before shipment unless other terms are explicitly agreed in writing.
- Late Payment: If payment is not received within the agreed timeframe, we reserve the right to delay or cancel the order. Interest may be charged on overdue balances at a rate of 1% per month.
4. Shipping & Delivery
Shipping terms are based on Incoterms as specified in the Proforma Invoice. The most common terms are:
- FOB Shenzhen: We are responsible for delivering goods to the port of Shenzhen. Risk transfers to the buyer once goods are loaded on the vessel.
- EXW (Ex Works): Buyer is responsible for all shipping costs, customs clearance, and risk from our factory in Shenzhen.
- CIF / CFR: Available for full container loads. We arrange shipping to the destination port; insurance is included under CIF.
- Air Freight / Express: Available for small orders or urgent shipments. Costs are quoted separately.
Delivery Timeline: Standard production lead time is 7–15 working days for standard products and 20–30 working days for custom/OEM orders. Lead times begin after deposit payment is confirmed. Delivery times are estimates and are not guaranteed. IDEEDA shall not be liable for delays caused by force majeure events, customs holds, carrier delays, or other circumstances beyond our reasonable control.
Packaging: All products are packed in standard export packaging with foam protection and wooden cases for sensitive equipment. Custom packaging is available upon request at additional cost.
5. Warranty & Returns
IDEEDA provides a comprehensive warranty for all laser equipment:
- Warranty Period: One (1) year from the date of shipment for all laser marking, engraving, and cleaning machines. Consumable parts (laser tubes, galvanometer scanners, lenses, belts) carry a 3–6 month warranty as specified in the product documentation.
- Warranty Coverage: Covers manufacturing defects and material failures under normal use conditions. Does not cover damage caused by misuse, unauthorized modifications, accidents, natural disasters, or failure to follow the user manual’s operating instructions.
- Warranty Service: During the warranty period, we will provide free replacement parts shipped via express courier. For complex issues, we provide remote technical support via video call, and if necessary, on-site service at the buyer’s cost for travel and accommodation.
- Return Policy: Products may be returned within 7 days of delivery for non-custom items in original, unused condition. Return shipping costs are the buyer’s responsibility. A 15% restocking fee applies to all authorized returns. Custom or OEM products are non-returnable unless defective.
- RMA Process: All warranty claims must be submitted with photos/videos of the issue and a detailed description. We will respond within 24 hours with a diagnosis and solution.
6. Intellectual Property
All intellectual property rights related to IDEEDA products and services are owned by or licensed to Shenzhen Ideeda Technology Co., Ltd.
- Product Designs: All product designs, technical drawings, circuit schematics, and engineering specifications are proprietary to IDEEDA and are protected under applicable intellectual property laws. Reproduction, reverse engineering, or unauthorized use is strictly prohibited.
- Branding: The IDEEDA name, logo, and product names are registered trademarks. Use of our branding requires prior written authorization. Unauthorized use will be pursued to the fullest extent of the law.
- Website Content: All text, images, videos, graphics, and other content on this website are protected by copyright. You may not reproduce, distribute, or create derivative works without written permission.
- Software: EZCAD and other software included with our products is licensed to you for use with the purchased equipment. Redistribution, reverse engineering, or modification of the software is prohibited.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- IDEEDA’s total liability arising out of or related to the sale or use of any product or service shall not exceed the purchase price paid by the buyer for the specific product or service giving rise to the claim.
- IDEEDA shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of production, business interruption, or damage to other equipment.
- IDEEDA makes no warranties beyond those expressly stated in these Terms and the product warranty. All implied warranties, including merchantability and fitness for a particular purpose, are limited to the warranty period stated herein.
- The buyer assumes all risk and liability for the use of IDEEDA products and is responsible for ensuring compliance with all local safety regulations, laser safety standards (IEC 60825), and workplace requirements.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms, including the purchase, delivery, or use of products, shall be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Shenzhen, Guangdong Province, China.
For international buyers, the parties may agree to submit disputes to the Shenzhen Court of International Arbitration (SCIA) under its arbitration rules. The arbitration shall be conducted in English, and the arbitral award shall be final and binding.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
